Nynly — Terms of Service
Last updated: June 2026 · Version 1.0
PLEASE READ THESE TERMS CAREFULLY. They include important information about
your legal rights, including a binding arbitration provision and class action waiver
(Section 17), a release of liability (Section 12), and
limitations on Nynly's liability (Section 13). By creating an account or using
the Services, you agree to these Terms.
1. What Nynly Is — and What It Is Not
Nynly ("Nynly," "we," "us") operates a technology platform (website and mobile applications,
together the "Services") that helps families ("Families") find, communicate with, and pay
independent service providers ("Providers") for services such as babysitting, nanny care, pet
care, senior care, cleaning, handyman work, lawn care, and errands ("Care Services").
NYNLY IS A NEUTRAL MARKETPLACE VENUE ONLY. NYNLY DOES NOT PROVIDE CARE SERVICES,
DOES NOT EMPLOY PROVIDERS, AND IS NOT A REFERRAL SERVICE, EMPLOYMENT AGENCY, STAFFING AGENCY,
OR HOUSEHOLD EMPLOYER.
- Providers are independent contractors and/or are engaged directly by Families. Nynly does
not direct, control, or supervise the work of any Provider.
- Each Family is solely responsible for selecting, vetting, interviewing, and engaging a
Provider, and for complying with any obligations applicable to household employers under
federal, state, and local law (including tax, wage, and workers' compensation obligations,
where applicable).
- Each Provider is solely responsible for the services they deliver, for their own taxes,
licenses, permits, and insurance.
2. Eligibility
- You must be at least 18 years old to use the Services.
- You must be legally able to enter into binding contracts.
- Providers must be legally authorized to work in the jurisdiction where they provide
services.
- You may not use the Services if you have been convicted of, or registered for, any
offense involving violence, abuse, neglect, theft, or any crime against children or vulnerable
persons.
3. Accounts and Verification
You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for safeguarding your password and for all activity under your account.
3.1 Screening Disclaimer
NYNLY DOES NOT GUARANTEE THE IDENTITY, QUALIFICATIONS, BACKGROUND, OR CONDUCT
OF ANY USER.
Nynly may offer optional verification tools (such as document review, AI-assisted
pre-screening, or third-party background checks). These tools are inherently limited:
- Background checks may not reveal all relevant records and may contain errors or
omissions. They are point-in-time checks and can become outdated.
- A "verified" badge means only that a specific document or check was reviewed at a
specific time. It is not a guarantee, endorsement, or certification of any
Provider, and it is not a substitute for the Family's own due diligence (interviews,
references, supervision).
- Where a background check is processed through a consumer reporting agency (e.g., Checkr),
it is subject to the federal Fair Credit Reporting Act (FCRA). The requesting party must
comply with FCRA requirements, including obtaining consent and providing adverse action
notices where required.
4. No Insurance Provided by Nynly
NYNLY DOES NOT PROVIDE, AND IS NOT RESPONSIBLE FOR, ANY INSURANCE COVERAGE FOR
FAMILIES, PROVIDERS, OR ANY THIRD PARTY.
- Providers are strongly encouraged to carry their own general liability and/or professional
liability insurance. Providers may display proof of insurance on their profile; Nynly does
not verify the scope, validity, or current status of any such policy.
- Families are strongly encouraged to verify a Provider's insurance directly with the
insurer, and to review their own homeowner's or renter's insurance for applicable coverage.
- Any insurance badge displayed on the platform reflects a document uploaded by the Provider
and is informational only.
5. Interactions Between Users
You are solely responsible for your interactions with other users, whether online or in
person. Nynly does not supervise meetings, services, or transportation. We recommend that
Families:
- Interview Providers (preferably by video or in person) before any engagement;
- Check references independently;
- Remain reachable during service periods;
- Never share financial credentials or send money outside the platform.
6. Payments, Fees, and Cancellations
- Payments are processed by Stripe, Inc. By using the Services you also agree to the
Stripe Connected Account
Agreement.
- Families: after any free period, a subscription of $9.90/month applies,
cancellable at any time effective at the end of the billing cycle.
- Providers: joining is free. Nynly deducts a 12% service fee from each
completed mission, unless a commission-free period applies.
- Cancellation fees: missions cancelled by the Family less than 24 hours
before the start incur a fee of 25% of the mission amount; less than 4 hours, 50%. These
amounts compensate the Provider for reserved time.
- Tips: 100% of tips go to the Provider. Nynly takes no commission on
tips.
- Off-platform payments: circumventing the platform to avoid fees harms the
community and may result in account termination.
- Taxes: Providers are responsible for their own income and self-employment
taxes. Where required by law, Nynly or its payment processor will issue tax forms (e.g.,
1099-K).
7. Acceptable Use
You agree not to:
- Provide false information or impersonate any person;
- Upload forged, altered, or fraudulent documents (including background checks);
- Use the Services for any unlawful purpose, or to harm, exploit, or endanger any person,
especially minors;
- Harass, threaten, or discriminate against any user;
- Scrape, copy, or reverse-engineer the Services;
- Post content that is illegal, defamatory, obscene, or infringing.
Nynly may suspend or terminate accounts that violate these Terms, with or without notice,
and may report suspected criminal activity to law enforcement.
8. Content
You retain ownership of content you post (photos, videos, reviews, messages) and grant
Nynly a worldwide, non-exclusive, royalty-free license to host, display, and distribute that
content solely to operate and promote the Services. You represent that you have all rights to
the content you post, including consent of identifiable persons appearing in photos or
videos.
Reviews must be truthful and based on genuine experience. Nynly may remove content at its
discretion but has no obligation to monitor content.
9. Privacy and Children
Our collection and use of personal information is described in our
Privacy Notice. The Services are not directed to children under
18, and we do not knowingly collect personal information from children. Information that
Families voluntarily share about their children (e.g., in messages to Providers) is provided
under the Family's sole responsibility.
10. Third-Party Services
The Services rely on third-party services (e.g., Stripe for payments, Checkr for
background checks, Cloudinary for media hosting). Nynly is not responsible for the acts or
omissions of third parties. Your use of those services may be subject to their own terms.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF
ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NYNLY DOES NOT WARRANT THE QUALITY,
SAFETY, LEGALITY, OR RELIABILITY OF ANY CARE SERVICES OR ANY USER.
12. Release
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU — ON BEHALF OF YOURSELF, YOUR
HEIRS, AND YOUR DEPENDENTS — RELEASE, WAIVE, AND DISCHARGE NYNLY, ITS OFFICERS, DIRECTORS,
EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LOSSES, EXPENSES
(INCLUDING ATTORNEYS' FEES), DAMAGES, AND LIABILITIES OF EVERY KIND — INCLUDING CLAIMS BASED
ON CONTRACT, NEGLIGENCE, PERSONAL INJURY, PROPERTY DAMAGE, OR WRONGFUL DEATH — ARISING OUT OF
OR RELATING TO (A) THE ACTS OR OMISSIONS OF ANY USER OR THIRD PARTY, (B) ANY CARE SERVICES,
OR (C) YOUR USE OF THE SERVICES.
If you are a California resident, you waive California Civil Code §1542, which says: "A
general release does not extend to claims that the creditor or releasing party does not know
or suspect to exist in his or her favor at the time of executing the release and that, if
known by him or her, would have materially affected his or her settlement with the debtor or
released party."
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NYNLY WILL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF
PROFITS, DATA, USE, OR GOODWILL; AND (B) NYNLY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS
RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO NYNLY IN
THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S.
DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those jurisdictions, these
limitations apply to the fullest extent permitted.
14. Indemnification
You agree to indemnify, defend, and hold harmless Nynly and its officers, directors,
employees, and agents from and against any claims, liabilities, damages, losses, and expenses
(including reasonable attorneys' fees) arising out of or related to: (a) your use of the
Services; (b) your violation of these Terms or applicable law; (c) Care Services you provide
or receive; or (d) your content.
15. Termination
You may stop using the Services and delete your account at any time. Nynly may suspend or
terminate your access at any time for violation of these Terms or to protect the community.
Sections that by their nature should survive (including 11–14, 17) survive termination.
16. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of
laws principles, except that the Federal Arbitration Act governs Section 17.
17. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
- Informal resolution first. Before filing a claim, you agree to contact us
at legal@nynly.com and attempt to resolve the dispute informally for 30 days.
- Arbitration. Any dispute arising out of or relating to these Terms or the
Services that cannot be resolved informally will be resolved by binding individual
arbitration administered by the American Arbitration Association (AAA) under its Consumer
Arbitration Rules. The arbitration will take place in the county where you reside, or
remotely by video.
- Class action waiver. YOU AND NYNLY AGREE THAT EACH MAY
BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR
CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
- Exceptions. Either party may bring an individual claim in small claims
court, or seek injunctive relief for intellectual property infringement.
- Opt-out. You may opt out of this arbitration agreement within 30 days of
first accepting these Terms by emailing legal@nynly.com with your name and account email.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes (e.g.,
by email or in-app notice) at least 14 days before they take effect. Continued use after the
effective date constitutes acceptance.
